VeloMD Enterprise — Clinical
Documentation Platform
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or
"Provider") and TAMDB SOFT PLLC ("Company," "we," "our," or "us") governing your access to and use of the VeloMD
Enterprise platform ("VeloMD," "Service," or "Platform").
By creating an account, accessing, or using VeloMD, you acknowledge that you have read, understood, and agree to
be bound by these Terms, our Privacy Policy, and any applicable Business Associate
Agreement. If you do not agree, you must not use the Service.
2. Eligibility
VeloMD is designed exclusively for use by:
- Licensed healthcare professionals — physicians, nurse practitioners, physician assistants,
or other clinicians holding an active, unrestricted medical license in their jurisdiction of practice
- Authorized clinical staff — medical assistants, scribes, or administrative personnel
authorized by a licensed provider to access clinical documentation tools
By using VeloMD, you represent and warrant that you meet the eligibility requirements above and that your use
complies with all applicable federal, state, and local laws, including the corporate practice of medicine
regulations in your jurisdiction.
3. Description of Service
VeloMD is a cloud-based clinical documentation platform that provides:
- Audio dictation — capture of clinical encounter audio via browser-based recording
- AI-powered transcription — conversion of audio recordings to text using Google Cloud Vertex
AI
- Structured note generation — AI-assisted creation of clinical notes (SOAP, H&P, procedure
notes) from transcribed text
- Note management — storage, editing, review, and export of clinical documentation
- Research assistance — AI-powered medical information lookup (for provider reference only)
4. AI-Generated Content Disclaimer
IMPORTANT: VeloMD uses Generative AI technology. You acknowledge and agree that:
- AI-generated content, including transcriptions, clinical notes, and suggestions, may contain errors,
omissions, inaccuracies, or hallucinations
- AI-generated content is not a substitute for professional medical judgment
- The licensed healthcare provider bears full and sole responsibility for reviewing,
verifying, editing, and approving all AI-generated content before incorporating it into any medical record
or making clinical decisions
- VeloMD does not provide medical advice, diagnoses, or treatment recommendations
- The Company is not liable for clinical decisions made based on AI-generated content
5. User Responsibilities
5.1 Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You must not share your account with unauthorized individuals
- You must promptly notify us of any unauthorized use of your account
- You are responsible for all activity that occurs under your account
5.2 HIPAA Compliance
- You are responsible for ensuring your use of VeloMD complies with all applicable HIPAA regulations, state
privacy laws, and institutional policies
- We recommend using patient initials or case identifiers instead of full patient names during dictation
- You must not disable, circumvent, or interfere with the security features of the Service
- You are responsible for ensuring that any device used to access VeloMD is appropriately secured
5.3 Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means to access the Service (bots, scrapers, etc.)
- Sublicense, resell, or redistribute the Service without written authorization
6. Intellectual Property
6.1 Company Property
The VeloMD platform, including its software, design, user interface, documentation, and all related intellectual
property, is owned by TAMDB SOFT PLLC and protected by copyright, trademark, and other intellectual property
laws. These Terms do not grant you any ownership rights in the Service.
6.2 Your Content
You retain all ownership rights to clinical content you create using VeloMD, including dictated audio,
transcriptions, clinical notes, and custom protocols. We do not claim ownership of your content. We access your
content only as necessary to provide the Service and as described in our Privacy Policy.
7. HIPAA and Data Protection
- VeloMD processes data through Google Cloud Platform under a signed Business
Associate Agreement (BAA)
- Data is transmitted via TLS 1.2+ encrypted channels and stored with AES-256
encryption at rest
- Your data is not used for AI model training by Google or TAMDB SOFT PLLC
- We maintain audit logs of all PHI access events as required by HIPAA
- If you are a Covered Entity under HIPAA, a separate Business Associate Agreement between
you and TAMDB SOFT PLLC is required and available upon request
8. Subscription and Payment
8.1 Subscription Plans
VeloMD is offered as an auto-renewing monthly subscription. Two tiers are available:
- VeloMD Monthly — for licensed Full Practitioners (approximately $29.99/month in the U.S.
App Store; exact local price shown by Apple at the time of purchase).
- VeloMD Training Monthly — discounted honor-system tier for clinicians in training
(medical students, residents, fellows; approximately $14.99/month). Same feature set as the standard tier.
An initial free trial period (currently up to 21 days) is granted to approved new providers. The trial length
in effect at the time of approval is shown in-app.
8.2 Auto-Renewal
Subscriptions automatically renew on a monthly basis at the then-current price unless canceled at least
24 hours before the end of the current billing period. Your account will be charged for renewal within
24 hours prior to the end of the current period.
8.3 Billing Channels
- Apple In-App Purchase — required for purchases initiated from the iOS or iPadOS
VeloMD app. Apple processes the payment, manages the subscription, and remits to TAMDB SOFT PLLC.

(Apple
Media Services Terms).
- Stripe (card billing) — used for subscriptions purchased on the desktop web app.
Stripe processes payment and provides a customer portal for billing management.
Subscriptions purchased through one channel grant access to VeloMD on every signed-in device, regardless of
platform.
8.4 Managing or Canceling Your Subscription
- Apple subscriptions: manage or cancel anytime from your iPhone/iPad in
Settings → [Your Name] → Subscriptions → VeloMD, or in the VeloMD app from
Settings → Subscription → "Manage Apple Subscription". Cancellation takes effect at the end of the
current billing period.
- Stripe subscriptions: manage or cancel anytime from the VeloMD app
Settings → Subscription → "Manage Subscription & Billing", which opens the Stripe customer portal.
8.5 Refunds
- Apple In-App Purchase refunds are governed by Apple and must be requested through
reportaproblem.apple.com.
TAMDB SOFT PLLC has no ability to issue refunds for purchases made through Apple.
- For Stripe-billed subscriptions, refund requests may be sent to
drlee@tamdbsoft.com and will be evaluated on a case-by-case basis.
8.6 Pricing Changes
The Company reserves the right to modify pricing with at least 30 days' advance notice. Continued use of the
Service after a pricing change constitutes acceptance of the new pricing. For Apple subscriptions, Apple's
own price-change consent rules apply.
8.7 Payment Information
Payment information is handled exclusively by Apple or Stripe. TAMDB SOFT PLLC does not receive, store, or
process payment card data.
9. Service Availability and Support
- We strive to maintain high availability but do not guarantee uninterrupted access to the Service
- We may perform scheduled maintenance with reasonable advance notice
- The underlying cloud infrastructure (Google Cloud Platform) maintains a 99.95% uptime SLA
- Technical support is available via email. Response times may vary based on subscription tier.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
- TAMDB SOFT PLLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR CLINICAL
OUTCOMES ARISING FROM THE USE OF AI-GENERATED CONTENT
- OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE
(12) MONTHS PRECEDING THE CLAIM
- WE ARE NOT RESPONSIBLE FOR CLINICAL DECISIONS MADE BASED ON AI-GENERATED OUTPUT. THE LICENSED PROVIDER IS
SOLELY RESPONSIBLE FOR ALL CLINICAL JUDGMENT.
11. Indemnification
You agree to indemnify, defend, and hold harmless TAMDB SOFT PLLC, its officers, directors, employees, and agents
from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Clinical decisions made using AI-generated content
- Any claim by a third party related to your use of the Service
12. Termination
- By you: You may stop using the Service at any time. Contact us to request account deletion.
- By us: We may suspend or terminate your access if you violate these Terms, fail to pay
applicable fees, or if required by law.
- Effect of termination: Upon termination, your right to use the Service ceases. We will
retain your data for a reasonable period to allow you to export it, after which it will be deleted in
accordance with our data retention policies.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas,
without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through
binding arbitration administered by the American Arbitration Association (AAA), with the proceedings conducted
in the State of Texas.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable BAA,
constitute the entire agreement between you and TAMDB SOFT PLLC
- Severability: If any provision is found unenforceable, the remaining provisions continue in
full force
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Assignment: You may not assign your rights under these Terms without our written consent
- Modifications: We may update these Terms at any time. Material changes will be communicated
via the application or email with 30 days' notice
